1. Scope
1.1 These GTC apply to all orders placed in the online shop of Elira (hereinafter “Seller”), registered office: Horsterstraße 56a 45897 Gelsenkirchen, Trade Register: [Number].
1.2 Consumers (natural persons purchasing for non-commercial purposes) and businesses alike are treated as buyers under these GTC.

2. Contracting Parties, Contract Formation
2.1 The contract is concluded with Elira.
2.2 The product presentations in the online shop do not constitute binding offers. By clicking on “Place Order,” you submit a binding order. A contract is concluded upon order confirmation or delivery of goods.

3. Prices, Shipping Costs, Payment
3.1 All prices include statutory VAT unless otherwise stated. Shipping costs are listed separately.
3.2 Shipping costs are displayed during the checkout process.
3.3 Payment can be made via PayPal, credit card, SEPA direct debit, advance payment, or other methods indicated in the shop.

4. Delivery & Delivery Times
4.1 Unless otherwise agreed, deliveries within Germany are typically made within 3–5 business days after payment.
4.2 Deliveries within the EU take approximately 5–10 days; shipments to other countries are arranged separately.
4.3 Delivery time specifications are non-binding unless expressly agreed.

5. Right of Withdrawal for Consumers
5.1 Consumers have the right to withdraw from the contract within 14 days without stating a reason.
5.2 The withdrawal period is 14 days from the day the consumer or a third party named by them takes possession of the goods.
5.3 The right of withdrawal does not apply if the seal (e.g. of olive oil bottles or matcha tins) has been broken or if the packaging has been opened.
5.4 To exercise the right of withdrawal, the customer must clearly inform the seller (e.g. by email or letter).
5.5 The customer bears the return shipping costs.
5.6 Returned goods must be undamaged, unopened, and in their original packaging.
5.7 Refunds will be issued within 14 days after receiving and inspecting the returned goods.

6. Prices for Businesses
6.1 Business customers pay net prices plus statutory VAT.
6.2 Payment is due within 7 days net without deductions.

7. Warranty & Liability
7.1 Consumer warranty rights under applicable law apply (two-year period).
7.2 Business buyers must inspect goods for obvious defects upon receipt and submit complaints within one week.
7.3 If a justified complaint is made, we will remedy the defect or provide a replacement at our discretion. Further claims are excluded unless caused by willful misconduct or gross negligence.

8. Retention of Title
8.1 The goods remain the property of the Seller until all receivables from the contractual relationship are settled.

9. Data Protection
9.1 We collect personal data solely for contract processing and in accordance with our Privacy Policy (linked on the website).
9.2 Data is shared with third parties only for contractual fulfillment (e.g., shipping companies, payment providers).

10. Final Provisions
10.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
10.2 The place of jurisdiction for all disputes is the registered office of the Seller, provided legally permissible.
10.3 Should any provision of these GTC be invalid, the remaining provisions shall remain effective.
